Eni's Strategic Shift: Deconsolidation and Increased Dividends

3/20/2026, 1:32:07 PM

Overview of Eni's New Strategy

Italian energy group Eni (ENI.MI) has announced significant changes to its financial strategy, including an increase in dividend payouts and a restructuring of its renewable energy unit, Plenitude. The company plans to raise its distribution range for the next five years, committing to distribute 100% of additional cash flow through extraordinary dividends if energy prices exceed certain thresholds. Specifically, if the annual average Brent crude oil price surpasses $90 per barrel or if gas prices or refining margins rise by 50% compared to current expectations, Eni will issue additional dividends.

Financial Projections and Growth Plans

Eni's Chief Executive Claudio Descalzi indicated that the company anticipates a 5% increase in dividends this year, alongside a share buyback program of at least 1.5 billion euros ($1.73 billion). The updated strategy aims for cash flow from operations (CFFO) to reach approximately 17 billion euros by 2030, supported by a projected annual hydrocarbon production growth of 3-4%. This growth is expected to stem from various projects, including a joint venture with Petronas in the Far East and the development of liquefied natural gas (LNG) operations in Mozambique and Congo. Additionally, Eni plans to approve a major LNG project in Argentina in partnership with YPF and Abu Dhabi's XRG.

Deconsolidation of Plenitude

A key aspect of Eni's new strategy involves the deconsolidation of its retail and renewable energy unit, Plenitude. This will be achieved through a shareholding reorganization and a new governance structure, with a non-proportional capital increase of around 1.5 billion euros. Asset manager Ares, already an investor in Plenitude, is expected to contribute at least 1 billion euros to this capital increase. Following this transaction, Eni will retain a 65% equity stake in Plenitude.

Criticism and Opposition

While Eni's strategy aims to enhance financial performance and shareholder returns, some analysts express concern over the reliance on fossil fuels amid a global push for renewable energy. Critics argue that the focus on hydrocarbon production and LNG projects may undermine Eni's long-term sustainability goals and commitment to reducing carbon emissions.

Official Statements

Eni's leadership has emphasized the importance of cost reduction and performance improvements across its operations to achieve its financial targets. Descalzi stated, "The bulk of our hydrocarbon output growth will be on LNG," highlighting the company's strategic pivot towards natural gas as a key component of its future growth.

What's Next for Eni

As Eni implements its new strategy, the company will closely monitor energy market conditions, particularly the ongoing conflict in Iran, which has contributed to rising oil prices. The success of Eni's financial projections and its ability to navigate the evolving energy landscape will be critical in the coming years.
