The share offering targets HK$15.7 billion (US $2 billion) and follows the expiration of a 60-day lock-up period after a July placement that raised HK$31.4 billion. The convertible bonds carry no coupon and are priced to yield between –0.5 % and 0 %, meaning investors accept a small certain loss for the conversion option at HK$892.5—a 25 % premium to the placement price, according to The Next Web.
Strategic Rationale
Z.ai says the proceeds will fund research, computing resources, infrastructure, expansion, strategic investments, possible acquisitions and working capital. The company has already built a data centre that runs on domestically produced accelerators rather than Nvidia hardware, a cost-intensive approach the firm believes will sustain its competitive edge. Revenue is approaching US $1 billion, driven largely by free-to-use models, while the firm continues to develop its GLM line, which recently outperformed DeepSeek.
Regulatory and Geopolitical Context
Two weeks before the placement, U.S. agencies (the NSA, FBI and CISA) listed Z.ai in an advisory accusing the firm of extracting billions of tokens from American models such as GPT-5.5 and Claude Opus by mid-2026. Beijing described the advisory as unfounded, reflecting a diplomatic dispute over technology transfer.
Future Plans
Z.ai is also pursuing a listing on Shanghai’s Star Market and has secured shareholder approval for an offering of up to 15 billion yuan, though no formal application has been disclosed. The company’s aggressive capital-raising cycle underscores the high costs associated with developing frontier AI models.
