Galderma to Acquire ZO Skin Health in $1.5 Billion Cash Deal

By Drooid · · How we work

Acquisition Announcement

On October 13, Reuters reported that Swiss dermatology group Galderma AG signed an agreement to purchase 100 % of ZO Skin Health, a medical-grade skincare company founded by dermatologist Zein Obagi. The transaction is valued at approximately $1.5 billion and will be completed later in 2026 or early 2027, pending regulatory approval and customary closing conditions.

Deal Structure and Financial Details

The purchase price will be paid entirely in cash, financed from Galderma’s existing cash reserves and bank borrowing. Sellers include funds managed by Blackstone Tactical Opportunities and the Obagi family. ZO Skin Health reported net sales of nearly $330 million in the twelve months ending June 2026 and maintains a catalog of more than 40 products distributed through over 16,500 doctors, medical-spa centers and online channels in more than 40 countries.

Strategic Rationale

Galderma, which already owns brands such as Cetaphil, Alastin, Differin, Dysport and Restylane, aims to deepen its presence in the U.S. physician-distributed skincare market. Industry analysts note that medically backed, dermatologist-prescribed products like ZO’s tend to generate steadier demand than over-the-counter lines. The acquisition is positioned to complement Alastin’s peptide-focused regenerative line with ZO’s retinol- and acid-based daily regimens, broadening Galderma’s offering for both routine skin care and pre-/post-procedure treatment.

Expected Financial Impact

Galderma expects the deal to have a neutral impact on adjusted earnings per share in the first full fiscal year after closing. For 2027, the group projects a modest dilution of its adjusted EBITDA margin, with the margin anticipated to return to the group average from 2028 onward. The company also indicated that the integration will not cause significant variation in basic earnings per share during the initial post-closing year.

Verbatim Quote
