Tesla Proxy Highlights Board Ties to SpaceX and Merger-Ready Mechanisms

Proxy Filing and Upcoming Annual Meeting

Tesla’s proxy statement, filed today, sets the company’s 2026 annual meeting for December 3 at Gigafactory Texas, with shareholders of record as of October 13. The ballot contains three items: re-electing Elon Musk, chair Robyn Denholm and JB Straubel to three-year terms; a non-binding say-on-pay vote; and ratifying PwC as auditor. No shareholder proposals appear on the slate.

Overlap Between Tesla and SpaceX Boards

The filing confirms that Ira Ehrenpreis, who chairs Tesla’s compensation and governance committees, joined SpaceX’s board in February. Together with Elon Musk and his brother Kimbal Musk—both Tesla directors who also sit on SpaceX’s board—this means three of Tesla’s nine directors are linked to SpaceX. Tesla continues to list Ehrenpreis as an independent director despite his role in reviewing conflicts of interest.

Compensation Packages Structured for a Change of Control

Tesla reports that Musk’s 2025 compensation package totals $158.36 billion, combining a $132.3 billion performance award (valued assuming all milestones are met) and a $26.1 billion “interim” award, which Musk forfeited in April. On June 16, 2026, Musk exercised all 303,960,630 of his 2018 options, withholding 17,531,857 shares at a $23.34 exercise price, implying a $405 share price and a $116 billion value. The resulting 286.4 million restricted shares will not vest until January 19, 2028 unless a change of control occurs. In such a scenario, operational milestones drop out and market-cap-based tranches vest immediately; a deal valuing Tesla at $3 trillion would trigger three tranches, amounting to roughly $105 billion of additional compensation.

New Voluntary Retail Voting Program

Tesla is launching a “Voluntary Retail Voting Program” that will apply to future meetings. Retail shareholders can choose to have their shares automatically vote with the board on all matters, or to exclude “Special Matters” (defined as contested director elections or mergers requiring shareholder approval). The program offers no option to vote against the board and will begin after the December 3 meeting.

Potential Impact on Shareholder Oversight

Tesla’s $2 billion investment in xAI was converted into SpaceX Class A stock after SpaceX acquired xAI Holdings, resulting in a stake of under 1 % (approximately 18,990,195 shares). The board’s composition, the compensation structure, and the auto-vote mechanism together create a framework that could facilitate a Tesla-SpaceX merger, according to the proxy filing.
