Frasers Group Secures Majority Control of Hugo Boss
By Drooid · · How we work
Background and Recent Attempts
Frasers Group, the U.K. retailer owned by billionaire Mike Ashley, previously held 48.8% of Hugo Boss. In June, it launched a voluntary public takeover offer of €38 per share, which Hugo Boss management publicly urged investors to reject, describing the bid as “inadequate.” The board’s refusal set the stage for a direct share purchase.
Core Transaction Details
On 23 October, Frasers Group bought 198,666 Hugo Boss shares for €7.63 million, raising its direct holding to 34,468,065 shares and 50.08% of voting rights, just above the majority threshold. The purchase, financed from existing cash reserves, is classified as a significant transaction under the UK Listing Rules and does not require shareholder approval. Frasers also holds sold put options covering up to 15,050,100 additional shares, potentially increasing its interest by another 21.87% of Hugo Boss’s capital.
Financial Scope of the Deal
According to the regulatory filing, Hugo Boss recorded €1.81 billion in revenue and €272 million EBITDA for the six months ended 30 June 2026, with gross assets of €3.532 billion and net assets of €1.634 billion. On a pro-forma basis, Frasers estimated that the combined businesses would generate €1.87 billion EBITDA for the 52 weeks ended 26 April 2026. The consolidation is projected to create goodwill of €981.2 million on Frasers’s balance sheet.
Official Statements from Frasers Group
The board emphasized that the transaction aligns with Frasers’s broader retail expansion, following earlier acquisitions such as Harvey Nichols and a majority stake in Italy’s Maxi Sport.
Strategic Implications
By converting Hugo Boss into a subsidiary, Frasers gains operational control of a premium German apparel brand while expanding its international footprint. The goodwill entry reflects the premium placed on Hugo Boss’s brand value and anticipated synergies. The additional put options give Frasers the option to increase its stake further, potentially deepening its exposure to the luxury fashion market.
